TERMS OF USE

These Terms of Use (the “Terms”) govern your access to and use of the website, mobile applications, and all related services (collectively, the “Services”) provided by ZhongHe Group (“ZhongHe Group”, “we”, “us”, “our”, or “its affiliated company”). By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, please do not access or use our Services.

 

  1. Acceptance of Terms

Your use of the Services constitutes your full and unconditional acceptance of these Terms, including any updates or modifications we may make from time to time. We reserve the right to revise these Terms at any time, and such revisions will be effective immediately upon posting on our website. When downloading and using our mobile applications (“Apps”), you agree to the following additional terms:

    • You may download and use the Apps solely for your personal, non-commercial use, and only on devices compatible with the Apps;
    • We grant you a limited, non-transferable, non-exclusive license to use the Apps, which may be revoked at any time if you violate these Terms;
    • You are responsible for maintaining the security of your device and any accounts used to access the Apps;

Zhonghe Group disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.   1. Limitation of Liability

To the maximum extent permitted by law, Zhonghe Group shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Services, including but not limited to damages for loss of data, loss of profits, or business interruption. This limitation of liability applies regardless of whether the damages arise from negligence, breach of contract, or any other legal theory.

Nothing in these Terms shall limit or exclude our liability for gross negligence, willful misconduct, or liability that cannot be excluded by applicable law.

 

  1. Termination

We reserve the right to terminate or suspend your access to the Services at any time, without prior notice, if you violate these Terms, engage in illegal or unauthorized use of the Services, or for any other reason in our sole discretion. Upon termination, your right to use the Services will immediately cease, and you must cease all use of the Services.

Sections 4 (Intellectual Property Rights), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 10 (Governing Law), and 11 (General Provisions) shall survive termination of these Terms.

 

  1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia, including the Personal Data Protection Act 2010 (PDPA). For users in the European Economic Area (EEA), these Terms shall also comply with the General Data Protection Regulation (GDPR) and applicable EEA member state laws. For users in California, USA, these Terms shall comply with the California Consumer Privacy Act (CPRA).

Any dispute arising out of or in connection with these Terms or your use of the Services shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of Malaysia for resolution.

 

  1. General Provisions
    • These Terms constitute the entire agreement between you and Zhonghe Group regarding your use of the Services, superseding any prior agreements or understandings.
    • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
    • Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or any other provision.
    • You may not assign these Terms or your rights under these Terms without our prior written consent. We may assign these Terms at any time without your consent.
